GIFT CARD TERMS AND CONDITIONS

These terms and conditions (collectively, the “Gift Card Terms”) govern all electronic gift cards (“Gift Cards” and each, a “Gift Card”) offered and sold by Yalla Ventures, Inc., a Delaware corporation d/b/a PuroAir (“PuroAir” or referred to as “us”, “we”, or “our” as the context may require), and purchased, used, loaded, obtained, or otherwise redeemed (collectively, “Use”, “Used”, “Using”, and other correlative capitalized terms) by users of such Gift Cards (“you” or “your”). 

In its sole and absolute discretion, PuroAir may change, modify, or terminate some or all aspects of these Gift Card Terms, with or without notice to you.  Such changes may or may not affect previously Used Gift Cards.  Any changes to these Gift Card Terms will be in effect as of the “Last Modified” date at the top of this page.  

These Gift Card Terms contain important information regarding your rights and obligations, as well as conditions, limitations, and exclusions that might apply to you. Please read these Gift Card Terms carefully before Using a Gift Card. You should also carefully review our general Terms of Service and Privacy Policy, which are incorporated by reference into these Gift Card Terms.  Your Use of a Gift Card constitutes your acceptance, understanding, and unconditional consent and agreement to these Gift Card Terms, the Terms of Service, and the Privacy Policy.  You agree and acknowledge that PuroAir may process your personal information in connection with your Use of Gift Cards in accordance with its Privacy Policy.  

If you do not agree to these Gift Card Terms, or to our Terms of Service or Privacy Policy, you may not Use a Gift Card.  Unless expressly stated otherwise herein, in the event of any conflict or inconsistency between these Gift Card Terms and the terms of any of our other policies incorporated herein, these Gift Card Terms will prevail, govern, and control with respect to any matters pertaining to Gift Cards and the other policies will prevail, govern, and control with respect to all other matters.

1. Purchasing.  Gift Cards are available for purchase through getpuroair.com or its affiliated subdomain(s) (the “Website”).  You may purchase Gift Cards on the Website by using the following forms of payments methods: debit cards, credit cards (Visa, Mastercard, American Express, and Discover), Apple Pay, Amazon Pay, and any other methods as PuroAir may accept in its sole and absolute discretion.  You may not purchase Gift Cards using HSA/FSA funds.  

Gift Cards can be purchased on the Website in increments of $25, ranging from a minimum value of $25 to a maximum value of $150.  PuroAir reserves the right to suspend or delay redemption until payment for the Gift Card(s) has cleared.  Gift Cards are only valid if purchased through the Website.  A Gift Card is neither valid nor acceptable, and PuroAir will not be held liable, if it is obtained from unauthorized sellers or resellers, including any Internet sites other than the Website.

If you purchase a Gift Card for someone else, you can either (i) send the Gift Card directly to that person by entering their email address at checkout, or (ii) send the Gift Card to your own email address and then forward the email with the Gift Card information to your intended recipient (as long as you have not already redeemed the Gift Card into your account).  

Once you purchase a Gift Card and redeem it to your account, you will be able to view the balance of your Gift Card in your account, which you can access through the Website.

2. Redemption.  Gift Cards can only be redeemed for purchases on the Website.  When you Use the Gift Card to make a purchase, the amount available on the Gift Card is reduced by the purchase amount, and each subsequent purchase is deducted from the balance. The Use of your Gift Card for purchases is a demand for and withdrawal from the remaining value on your Gift Card. The balance will remain on the Gift Card until it is decreased to zero. You must have sufficient available funds on a Gift Card to make any purchase or otherwise pay any difference between the available funds on your Gift Card and the purchase amount using an acceptable payment method.  

You do not have the authority to halt or cancel a purchase initiated with your Gift Card, and you are liable for any such transaction. PuroAir reserves the right to refuse a Gift Card or limit its Use if PuroAir has reason to believe that the Use is unauthorized, fraudulent, or otherwise illegal.

3. Limitations.  Your Use of Gift Cards is subject to the following limitations:

5. You may not use the balance on your Gift Card(s) to purchase other Gift Cards.

6. You may not reload a Gift Card after it has been redeemed to an account and used for purchases.  If you want to add funds to a Gift Card, you can purchase a new Gift Card in the desired additional amount.

7. Gift Cards may not be purchased using promotional offers or discounts, unless otherwise authorized by PuroAir. 

8. Gift Cards cannot be used to purchase certain ineligible goods. To pay for an order that includes any ineligible items, you may need to provide a credit card, debit card, or other valid payment method. Eligible goods are subject to change at PuroAir’s sole and absolute discretion.

9. A Gift Card is not a credit, debit, or charge card.  No implied warranties attach to purchased Gift Cards.

10. Multiple Gift Cards cannot be consolidated and combined into one or more new Gift Cards.  However, you may use multiple Gift Cards for the same transaction. 

11. Gift Card balances cannot be transferred to different accounts after the Gift Card has been redeemed into an account for a purchase or otherwise.  For example, if you purchase a $100 Gift Card, redeem the Gift Card to your account, and then have a remaining Gift Card balance of $30 after making a purchase, you cannot transfer your $30 balance to a different account.

12. Gift Cards cannot be used as payment for orders placed for commercial purposes.  Gift Cards may only be used as payment for orders placed for personal consumption purposes.  You are not permitted to Use Gift Cards to fulfill sales or fund purchases with the intent of reselling or exporting PuroAir’s products. 

13. Gift Cards cannot be returned, resold, used for payment outside of the Website, used for unauthorized advertising, marketing, sweepstakes, or promotional or commercial purposes, redeemed for more than face value, transferred for value, redeemed for cash, returned for a cash refund (except to the extent required by law), or used in a manner otherwise prohibited by PuroAir, in its sole and absolute discretion.  

14. When you purchase a Gift Card on the Website, PuroAir will not be liable for any failure or delay in delivery.  You are obligated to provide the correct email address to which the Gift Card will be sent.  PuroAir is not responsible for Gift Cards that are undeliverable or not received due to inaccurate delivery information.  

15. PuroAir is not liable for Gift Cards purchased or sold via websites that facilitate the aftermarket sales of pre-owned merchandise (e.g., Facebook, eBay, Craigslist). Gift Cards obtained or purchased from sources other than PuroAir may be invalid or have a lower redeemable balance or value than the unauthorized vendor represented. PuroAir is not obligated to honor invalid Gift Cards or balances or values that have been misrepresented or are incorrect.

16. Returns.  All returns for purchases made with a Gift Card will be, in the sole and absolute discretion of PuroAir, either refunded by crediting that Gift Card or issuing a new Gift Card in the amount originally applied to the returned item.  If multiple payment methods were used for the purchase, the portion paid for with a Gift Card will be refunded accordingly.  For example, if you purchase a PuroAir product that costs $350 by paying with a $150 Gift Card and the balance with a credit card, and you subsequently return the product, (i) the $150 portion of the purchase price paid with the Gift Card will either be applied back to the Gift Card or PuroAir will issue a new $150 Gift Card to you, and (ii) the portion paid with a credit card will be returned to the credit card used to make the purchase. 

17. Risk of Loss.  The risk of loss for Gift Cards passes to you upon sale or upon PuroAir’s electronic transmission of the Gift Card to the purchaser or designated recipient.  You are responsible for safeguarding your Gift Card from unauthorized use.  PuroAir is not responsible if any Gift Card is lost or stolen, or if your Gift Card is Used without your permission.  PuroAir is not responsible for, and will not replace or replenish, Gift Cards that are lost, stolen, or Used without authorization.  

Beware of gift card scams: Do not share your Gift Card number if you are not purchasing an item from the Website. You can report potential scams to your local law enforcement and the FTC (reportfraud.ftc.gov). Many gift card scams request payment by a gift card. Go to FTC.gov/giftcards to learn more about gift card scams. PuroAir is not responsible for and assumes no liability to you for any unlawful conduct or fraud by any third party associated with any gift card.

6. Expiration of Gift Cards; Fees.  Other than the cash value purchase price, there are no fees associated with purchasing a Gift Card.  Gift Cards also do not expire or accrue any fees following their purchase.

7. Violation of These Gift Card Terms; Suspension; Fraud.  By Using a Gift Card, you agree to comply with these Gift Card Terms, our Terms of Service, and our Privacy Policy, and not Use a Gift Card in a way that is fraudulent or harmful to PuroAir, its affiliates, or its customers. If you engage in a prohibited activity that violates our Gift Card Terms, Terms of Service, Privacy Policy, company policies, or that, in our sole and absolute discretion, disrupts or harms our customers, reputation, goodwill, business, or operations, PuroAir reserves the right to void or cancel your Gift Cards and take additional action(s) against you and impose restrictions on your PuroAir account.

PuroAir reserves the right, without prior notice, at any time and in its sole and absolute discretion, to (i) prohibit you from purchasing, claiming, or redeeming Gift Cards; (ii) void, limit, modify, deactivate, suspend, or refuse to accept Gift Cards and not provide a refund; (iii) cancel or limit your purchases of our products and fulfillment of such purchases (including orders relating to Gift Cards and balances used to make purchases); or (iv) close or suspend your PuroAir account and access to our products and services. The foregoing may occur under certain situations, including, but not limited to, (a) if a Gift Card was obtained, used, or applied to a PuroAir account or used as payment in a manner that is fraudulent, illegal, or in violation of any of our terms, conditions, and policies referenced herein; (b) if the Gift Card balance uploaded or applied to a PuroAir account exceeds a legal or regulatory limit; (c) if we experience an issue with the on-file payment (e.g., insufficient funds) and/or need to verify information for payment to clear; and/or (d) if an update or change in applicable law imposes new legal requirements.

PuroAir may cancel and/or forfeit your Gift Cards and suspend or terminate your PuroAir account at any time with immediate effect if PuroAir determines in its sole and absolute discretion that you have (i) acted in a manner inconsistent with applicable laws or ordinances; (ii) acted in a fraudulent or abusive manner; (iii) breached any of these Gift Card Terms; (iv) engaged in any fraud or abuse concerning Use of Gift Cards; (v) acted in an unethical or disruptive manner; (vi) acted with intent to annoy, abuse, threaten or harass PuroAir, its representatives, or any other person or entity in any manner related to the Gift Cards; or (vii) engaged in any conduct or act that causes PuroAir to terminate or suspend your access to your PuroAir account. PuroAir may also take appropriate administrative or legal action if any of the items listed above occurs. Nothing contained in these Gift Card Terms shall limit PuroAir in its exercise of any legal or equitable rights or remedies.

8. Compliance with Laws.  Your Use of a Gift Card certifies and represents to PuroAir that the activities in which the Gift Card will be Used will comply with the Gift Card Terms and all applicable laws, rules, and regulations and that the Gift Card will not be Used in any manner that is misleading, deceptive, unfair, or otherwise harmful to anyone.

9. Modification.  PuroAir may modify any of these Gift Card Terms, at any time, with or without notice, even though these changes may affect your ability to Use the Gift Card(s).  If PuroAir amends these Gift Card Terms, it will revise the “last updated” date located at the top of these Gift Card Terms. If you continue to Use Gift Cards in any way after these Gift Card Terms have been changed, you will be deemed to have read, understood, and unconditionally consented and agreed to such changes. The most current version of these Gift Card Terms will be available on the Website and will supersede all previous versions of these Gift Card Terms. 

10. Electronic Communications.  We may occasionally send you emails and/or text messages regarding, among other things, your PuroAir account, Gift Cards, promotions, and new product launches.  When you visit the Website or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically, including targeted emails, surveys, promotional offers and for other general business purposes. We will communicate with you by email or by posting notices on the Website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that any notices provided by us electronically are deemed to be given and received on the date we transmit any such electronic communication as described in these Gift Card Terms. We reserve the right to send you emails for administrative purposes even if you opt out of marketing communications. If you consent to receive text messages sent to your mobile phone, then you will receive marketing and transactional messages at that mobile phone number. You are not required to consent to receive these text messages to Use Gift Cards. Message and data rates may apply to your receipt of these text messages. You may opt out of receiving text messages or emails at any time by (i) opting out of receiving emails or text messages from PuroAir at any time by texting the word “STOP” to any text message using the mobile device that is receiving the messages, (ii) following the directions to opt-out at the bottom of the email and using the unsubscribe link contained in the email, or (iii) contacting us at help@getpuroair.com.

11. General Terms and Conditions.  You are responsible for ensuring that the information in your PuroAir account is accurate and kept current. If you believe that your PuroAir account does not properly reflect Gift Card balances or Gift Card purchases, you must contact PuroAir to resolve the issue. PuroAir’s failure to enforce any of these Gift Card Terms shall not constitute a waiver of the affected provision, or any other provision. All questions or disputes regarding Use of Gift Cards or your compliance with these Gift Card Terms will be resolved by PuroAir in its sole and absolute discretion.  If you have any questions concerning Gift Cards, you may contact PuroAir for assistance by sending an email to help@getpuroair.com or calling (866) 552-9322.

12. Limitation of Liability.  PUROAIR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, CONCERNING GIFT CARDS, INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN THE EVENT A GIFT CARD CODE IS NON-FUNCTIONAL, YOUR SOLE REMEDY AND PUROAIR’S SOLE LIABILITY SHALL BE THE REPLACEMENT OF SUCH GIFT CARD. CERTAIN LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT PUROAIR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUES, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF PUROAIR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM ARISING OUT OF, RELATING TO, OR IN CONNECTION WITH ANY BREACH OF THESE GIFT CARD TERMS OR YOUR USE OF GIFT CARDS.  IN NO EVENT SHALL PUROAIR’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE GIFT CARD TERMS, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE TOTAL OF THE AMOUNTS PAID BY YOU TO PUROAIR IN CONNECTION WITH USE OF GIFT CARDS.  BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES, PUROAIR’S LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW.

13. Program Malfunctions and Conduct.  PuroAir is not responsible for lost, interrupted, inaccessible or unavailable networks, servers, satellites, internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, or difficulties, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Additionally, PuroAir is not responsible or liable for any computer, programming, or printer errors or the issuance of any unintended Gift Cards. In no event will PuroAir be liable for, and you expressly release PuroAir from, any claims related to the issuance of any Gift Cards. If, for any reason, the Gift Cards are not capable of operating or being Used as planned, including, due to errors of any kind or nature, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of PuroAir which corrupt or affect the administration, security, fairness, integrity or proper Use of the Gift Cards, PuroAir reserves the right in its sole and absolute discretion to cancel, terminate, modify, or suspend the Use of Gift Cards or otherwise respond to the circumstances as PuroAir deems appropriate. In the event PuroAir is prevented from controlling the Use of Gift Cards as contemplated herein by any event beyond its control, including but not limited to fire, flood, earthquake, windstorm, epidemic, pandemic, public health crisis, disease, virus, sickness or outbreak or other similar or dissimilar natural disaster; act of God or public enemy; riot or civil disturbance, act of any government or governmental authority, power failure, satellite or equipment failure, failure of telecommunications lines or failure or breakdown of plant, machinery or vehicles operated by a third party; labor dispute, strike, or lockout; actual or threat of war, armed conflict, terrorist attacks, war (declared, undeclared or threatened), explosion, nuclear, or chemical or biological contamination; or a government imposed travel ban, restriction on movement or gatherings, or other government imposed mandate of any kind, order of any court or jurisdiction, or other cause not reasonably within PuroAir’s control, PuroAir shall have the right to modify, suspend, or terminate the Use of Gift Cards, in whole or in part.

14. Indemnification.  If you Use Gift Cards, you agree to indemnify, defend, and hold harmless PuroAir and its subsidiaries, affiliates, stockholders, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, from and against any and all claims, losses, demands, liability costs, and expenses (including but not limited to reasonable attorneys’ fees) made by any third-party due to or arising out of your Use of Gift Cards and/or your violation of (i) these Gift Card Terms, (ii) state or federal laws or regulations, or (iii) any third party’s rights. You acknowledge that this indemnification obligation will survive the termination of your Use of Gift Cards.

15. Disputes; Jurisdiction; Class Action Waiver.  These Gift Card Terms shall be governed exclusively by and construed in accordance with the laws of the state of Delaware for all purposes and in all respects, without regard to the conflict of laws provisions of such state.  You (i) hereby irrevocably and unconditionally submit to the exclusive jurisdiction of the state courts of Arizona and to the jurisdiction of the United States District Court for the District of Arizona in Maricopa County for the purpose of any suit, action, or other proceeding arising out of or based upon these Gift Card Terms, (ii) agree not to commence any suit, action, or other proceeding arising out of or based upon these Gift Card Terms except in the state courts of Arizona or the United States District Court for the District of Arizona in Maricopa County, and (iii) hereby waive, and agree not to assert, by way of motion, as a defense, or otherwise, in any such suit, action, or proceeding, any claim that you are not subject personally to the jurisdiction of the above-named courts, that your property is exempt or immune from attachment or execution, that the suit, action, or proceeding is brought in an inconvenient forum, that the venue of the suit, action, or proceeding is improper, or that these Gift Card Terms or the subject matter hereof may not be enforced in or by such court.  You and PuroAir also agree that disputes will be litigated only on an individual basis and will not be joined or consolidated with any other lawsuits or other proceedings that involve any claim or controversy of any other party.  YOU AND PUROAIR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.  All such disputes shall be handled according to the dispute resolution terms and conditions set forth in the Terms of Service, which shall govern in the event of a conflict with these Gift Card Terms.

16. Privacy.  Unless otherwise indicated in these Gift Card Terms, by Using Gift Cards, you agree that PuroAir will use the personal information collected about you as set forth in PuroAir’s Privacy Policy.  

17. Severability.  If any provision of these Gift Card Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Gift Card Terms, which will otherwise remain in full force and effect.
